01 · ACCEPTANCE AND SCOPE
Acceptance and scope
These Terms of Service (these “Terms”) constitute a binding
agreement between Space City Pro Consulting LLC, a Texas limited
liability company (the “Company,” “we,” or
“us”), and the individual or entity accessing
spacecitypro.com, its subdomains, and the related web properties we
operate (collectively, the “Site,” which includes the
authenticated client area described in Section 6, the “Client
Portal”). By accessing or using the Site, you accept these Terms
and represent that you are at least eighteen (18) years of age and,
where you act on behalf of an organization, that you have authority to
bind that organization. If you do not agree to these Terms, do not use
the Site.
These Terms govern use of the Site only. Production services and
deliverables are governed exclusively by the
Space City Pro Engagement Agreement
(the “Engagement Agreement”) together with the accepted
quotation or order (the “Order”) executed between the
Company and its client. In the event of any conflict between these
Terms and an executed Engagement Agreement or Order, the Engagement
Agreement or Order controls with respect to the engagement. No content
on the Site constitutes an offer capable of acceptance, and no
engagement is formed except by a signed Engagement Agreement, Order, or
other written order.
We may revise these Terms by posting the revised version at this
location and updating the effective date above. Material revisions will
be announced by reasonable means, which may include notice on the Site
or through the Client Portal. Continued use of the Site after the
effective date of a revision constitutes acceptance of the revised
Terms.
02 · LICENSE AND RESTRICTIONS
License and restrictions
Subject to these Terms, the Company grants you a limited, revocable,
non-exclusive, non-transferable license to access the Site and to view,
link to, and share its content for lawful business purposes. No other
right or license is granted, whether by implication, estoppel, or
otherwise.
You shall not, and shall not permit any third party to: (a) access the
Site or extract its content or data by means of any robot, spider,
crawler, scraper, or other automated process, except ordinary
search-engine indexing; (b) use the Site or any of its content to
train, fine-tune, ground, or otherwise develop any
artificial-intelligence or machine-learning model or system;
(c) reverse engineer, decompile, or circumvent any technical or access
control of the Site; (d) resell, sublicense, or otherwise make the Site
available to any third party; (e) interfere with or degrade the
operation, security, or availability of the Site; (f) impersonate any
person or misrepresent your affiliation with any person or entity; or
(g) use the Site in violation of applicable law.

03 · INTELLECTUAL PROPERTY
Intellectual property
As between the parties, the Site and all content made available on it, including text, design, case studies, methodology descriptions,
software, and brand assets (collectively, “Site
Content”), are and remain the exclusive property of the
Company or its licensors and are protected by United States and
international intellectual-property laws. Except as expressly permitted
by Section 2 or with the Company's prior written consent, you may not
reproduce, distribute, modify, create derivative works of, publicly
display, or otherwise exploit Site Content. Ordinary quotation,
commentary, and internal business evaluation are permitted.
All trademarks, service marks, trade names, and logos appearing on the
Site, including those of the Company's clients, are the property of
their respective owners. Nothing on the Site grants any license or
right to use any mark without the prior written consent of its
owner.
04 · COPYRIGHT COMPLAINTS
Copyright complaints
The Company responds to notices of alleged copyright infringement that
comply with 17 U.S.C. § 512(c)(3). Direct notices to the Company's
designated agent: Legal Department, Space City Pro Consulting LLC,
4747 Research Forest Dr, STE 180 #11, The Woodlands, TX 77381;
[email protected].
Upon receipt of a compliant notice, the Company will remove or disable
access to the identified material and will, in appropriate
circumstances, terminate the Client Portal access of repeat
infringers.
06 · THE CLIENT PORTAL
The client portal
Certain features of the Site, including quotations, invoices,
project documents, and messaging, are made available through the
authenticated Client Portal. The Client Portal is offered solely for
business use by persons at least eighteen (18) years of age.
You are responsible for maintaining the confidentiality of your
credentials and for all activity occurring under your account, which is
attributed to you and to the organization you represent. You shall
maintain accurate account information, limit access to personnel
authorized to act for your organization, and notify the Company
promptly at
[email protected] upon
becoming aware of any unauthorized access to or compromise of an
account. The Company may suspend or terminate access to the Client
Portal, with or without prior notice, where the Company reasonably
determines that continued access threatens the security, integrity, or
operation of the Site or violates these Terms or applicable law.
07 · ELECTRONIC RECORDS AND SIGNATURES
Electronic records and signatures
By using the Client Portal, you consent to transact by electronic means
under the federal Electronic Signatures in Global and National Commerce
Act and applicable state equivalents, including the Texas Uniform
Electronic Transactions Act. Records, notices, disclosures, and
invoices may be delivered through the Client Portal or by email to the
address associated with your account, and such delivery satisfies any
requirement of written delivery. Your activation of an electronic
acceptance control, including Accept & Sign or any
equivalent, constitutes your electronic signature and has the
same legal force and effect as a handwritten signature.
You may request paper copies of records or withdraw consent to
electronic delivery by written notice to
[email protected];
withdrawal of consent may limit or preclude use of the Client
Portal.
08 · PAYMENTS
Payments
Payments made through the Client Portal are processed by third-party
payment providers pursuant to their own terms and privacy policies.
Payment card data is provided by you directly to the processor; the
Company does not receive or store full card numbers and retains only a
payment token, the card brand, and the final four digits. By initiating
a payment, you represent that you are authorized to use the payment
method provided and you authorize the charge of the amounts stated. A
payment completed through the Client Portal discharges the
corresponding obligation to the same extent as payment by any other
method accepted under the applicable Engagement Agreement or Order.
09 · USER CONTENT
User content
As between the parties, files, messages, and other materials you submit
through the Client Portal or through any other part of the Site,
including a resume, portfolio, work sample, or other file submitted with
a job application (“User Content”), remain your
property or the property of your licensors. You grant the Company a
non-exclusive, worldwide, royalty-free license to host, store,
reproduce, display, transmit, and process User Content as reasonably
necessary to operate the Site, to perform the engagement, and, for
material submitted with an application, to evaluate and administer that
application. The license is limited to those purposes and to the
retention periods stated in the Privacy Policy.
Material submitted with a job application is not an unsolicited idea,
suggestion, proposal, or feedback for the purposes of Section 5. You
represent and warrant that you hold all rights necessary to grant that
license and that User Content does not and will not infringe or
misappropriate the rights of any third party or violate applicable law.
The Company may remove User Content that it reasonably believes
violates these Terms.
10 · DISCLAIMERS
Disclaimers
THE SITE AND ALL SITE CONTENT ARE PROVIDED “AS IS”
AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS,
IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE,
NON-INFRINGEMENT, ACCURACY, AVAILABILITY, OR UNINTERRUPTED OR
ERROR-FREE OPERATION.
Metrics cited in case studies describe specific historical engagements
and do not constitute a guarantee, representation, or warranty of
results in any other engagement. Content on the Site, including
material addressing safety standards, sustainability, budgeting, and
production practice, is general information, is not
professional, legal, or engineering advice, and is not a substitute for
consultation with qualified professionals.
The Site may link to third-party websites and services. The Company
exercises no control over, and assumes no responsibility for, their
content or practices, and a link does not constitute an
endorsement.
Automated assistants made available on the Site, including chat
features that may employ artificial intelligence, provide
general information that may be incomplete or inaccurate. Their output
does not constitute advice, a quotation, or a commitment of the
Company, and no reliance may be placed upon it; obligations of the
Company arise only as described in Section 1.
11 · LIMITATION OF LIABILITY; INDEMNIFICATION
Limitation of liability; indemnification
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY
SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL,
CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS,
REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO USE OF THE
SITE, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED
OF THE POSSIBILITY OF SUCH DAMAGES; AND THE COMPANY'S AGGREGATE
LIABILITY ARISING OUT OF OR RELATING TO USE OF THE SITE SHALL NOT
EXCEED ONE HUNDRED UNITED STATES DOLLARS (US $100).
Liability arising out of an engagement is governed exclusively by the
applicable Engagement Agreement or Order. Some jurisdictions do not permit certain
exclusions or limitations; in those jurisdictions, the foregoing
applies to the fullest extent permitted.
You shall defend, indemnify, and hold harmless the Company and its
members, officers, employees, and agents from and against any and all
claims, damages, liabilities, costs, and expenses (including reasonable
attorneys' fees) arising out of or relating to your User Content, your
use of the Site, or your breach of these Terms.
12 · GOVERNING LAW; DISPUTE RESOLUTION
Governing law; dispute resolution
These Terms and any dispute arising out of or relating to use of the
Site are governed by the laws of the State of Texas, without regard to
its conflict-of-laws principles. Any such dispute shall be resolved
exclusively in the state courts sitting in Montgomery County, Texas, or
in the United States District Court for the Southern District of Texas,
Houston Division, and each party irrevocably consents to the personal
jurisdiction and venue of those courts.
TO THE EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY KNOWINGLY
AND VOLUNTARILY WAIVES ITS RIGHT TO A TRIAL BY JURY, AND ANY DISPUTE
SHALL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF
OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE
PROCEEDING. Any claim arising out of or relating to use of the
Site must be commenced within two (2) years after the claim accrues or
is permanently barred.
13 · GENERAL PROVISIONS
General provisions
These Terms, together with the Privacy Policy
and the Cookie Policy, which are
incorporated by reference, constitute the entire agreement between the
parties regarding use of the Site and supersede all prior
understandings on that subject. If any provision of these Terms is held
invalid or unenforceable, that provision shall be enforced to the
maximum extent permissible and the remaining provisions shall continue
in full force and effect. No failure or delay in exercising any right
constitutes a waiver of that right. You may not assign these Terms
without the Company's prior written consent; the Company may assign
these Terms to an affiliate or successor. These Terms create no
third-party beneficiary rights. Section headings are for convenience
only. The Site is operated from the United States, and the Company
makes no representation that the Site is appropriate or available for
use in any other jurisdiction. Sections 3, 4, 5, and 9 through 13
survive any termination of these Terms or of your access to the
Site.
